1. By participating in our Good knight Contest, you fully agree and accept the contest’s Terms & Conditions.
- The Contest is open to all residents of India.
- Eligibility requirements include a valid residential address, contact, number, e-mail id and Facebook Account.
- Parent or guardian can submit the entry for this contest on behalf of their children.
- The Contest is valid from 31st Dec 2015 to 10th Jan 2016 Friday for Facebook.
- The winners will be declared within 2 weeks after the contest date.
- Godrej Consumers Product Limited (Godrej) reserves the right to discontinue the contest without prior notice.
- 12 winners from Facebook will be picked based on the entries who share their paintings by following the rules of participation mentioned below:
a. The image should represent “SubahBoloGoodknight”, as to how you keep morning mosquitoes at bay, using Good knight.
b. The image has to connote morning.
c. Product integration is required, you can download open files here: <put the link>
d. It has to have a tag line.
8. The same will be judged by a panel constituted by Godrej. Participants are requested not use the brand or image or Good knight.
9. The winner will have a privilege of having his/her drawing on Good knight calendar, which will be sold with 100s of Good knight packets, with due credits (Name, School, City etc.) given to him/her.
10. Winner may also get some monetary or other gratification.
11. Winners must claim their prize within 24 hours of the announcement of results. Any claims post that will not be entertained.
12. No purchase or payment of any consideration is necessary to enter the contest.
13. Each participant must Follow Good knight to be eligible to take part.
14. Each participant must have the hashtag (#SubahBoloGoodknight) in their comments.
15. Each participant consents to the use of information supplied by the participant in any media for future promotional, marketing and publicity purposes without any further reference or payment or other compensation to the participant, by Godrej Good knight.
16. The decision of Good knight India shall be final in all matters this correspondence in this context will be entertained. Godrej Good knight reserves the right to change these terms and conditions without prior notice.
17. #SubahBoloGoodknight (hereinafter referred to as the "Contest/Promotion") is being organized by Godrej.
18. The winner may be requested to participate in publicity connected to this contest. The winner grant permission for the use of their names and photographs in any advertising and promotional material for this contest.
19. Godrej has endeavoured to make all reasonably practicable arrangements to minimize communication system difficulties but can make no guarantee therefore and shall not be liable for any failures in the same.
20. Godrej shall not be responsible and/or liable in any manner whatsoever in case the participant is unable to participate due to failure on part of the telecom operator, internet provider, facility provider, etc.
21. Godrej is not responsible for not being able to contact the winner due to unavoidable issues. In such a scenario, Godrej reserves the right to select another winner immediately. Participants in the contest understand and agree that in order to offer the contest; Godrej must collect and use personal information about participants. This contest is conducted under the terms of applicable privacy statements.
22. The participant unconditionally and irrevocably indemnifies and holds harmless Godrej and its successors in business, employees, officers, suppliers, contractors, agents, consultants, directors and shareholders against all and any losses, claims, proceedings, actions, damages, (direct, consequential or otherwise), liability, demands, expenses, legal costs (on an attorney and own client basis), medical costs or other costs howsoever arising out of, based upon, or in connection with (directly or indirectly) the participants participation in the contest, to the maximum extent permitted by law.
23. If a participant contravenes these rules, the participant may, in Godrej’s discretion, be disqualified from the contest.
24. Godrej reserves the right to alter or cancel the contest at its discretion, without recourse.
25. Godrej is not entering into any contractual, legal or any other kind of relationship with itself and the participants or between participants in running this contest.
26. The persons wishing to participate in the contest and the Participant(s) therein shall comply with the laws of India and the Rules and Regulations shall be construed in accordance with the laws of India.
27. Any dispute, issue or other matter arising with reference to the Participant’s participation in the contest and/or the contest or any related matters thereto shall be referred to Arbitration under a sole Arbitrator appointed by Godrej
28. The said Arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996, as amended from time to time. The venue for arbitration shall be Mumbai and proceedings shall be conducted in English language. All the costs, charges and expenses in connection to the Arbitration shall be solely borne by the person who has raised the dispute.
29. Courts in Mumbai shall have exclusive jurisdiction over all matters relating to participation in the contestant/or the contest. Subject to the provision of rule 24 above, the courts having jurisdiction under the provisions of the Arbitration and Conciliation Act, 1996, to determine all matters which the court is entitled to determine under the Act, including, without limitation, provision of interim relief’s under the provisions of Section 9 of the Arbitration and Conciliation Act, 1996, shall exclusively be the courts at Mumbai, India.

By registering yourself on Quick Heal’s Facebook page for participation in the Contest, you understand, agree, and undertake the following Terms and Conditions ("Terms & Conditions") of "Quick Heal X’mas Contest" (hereinafter referred to as "Contest")
Article 1. Definitions :
1.1. Participant:
The Contest is open to residents of the India aged 18 years or over except employees of Quick Heal and their close relatives and anyone otherwise connected with the Quick Heal or judging of the Contest.
1.2. "Contest Territory:" Contest Territory shall mean geographical territories of India excluding State of Tamil Nadu.
1.3. "Working days" means Monday to Friday, IST 9.30 a.m. to IST 6.30 p.m.
Article 2. Contest Period
This Contest is valid from IST 00.00 hrs of 25th December 2015 (12.00 AM, IST) upto 31st December 2015 (24:00 PM, IST) ("Contest Period"). Participation and/or registration for the Contest after IST 24.00 PM of 31st December, 2015 will be considered invalid.
Article 3. PROCESS OF PARTICIPATION
3.1. There is no entry fee and no purchase necessary to enter this Contest. By entering this Contest, a Participant is indicating his/her agreement to be bound by these terms and conditions.
3.2. Route to entry for the Contest and details of how to enter are via Quick Heal’s Facebook or Twitter Page (Facebook: _https://www.facebook.com/quickheala...: https://twitter.com/quickheal) (“Route Link”)
3.3. Participants shall visit the Route Link and send their entries about the best pair of security feature and Quick Heal product around festive season Internet Usage (Questions will be asked around this theme).
3.4. After this Contest Period, no further entries to the Contest will be permitted.
3.5. No responsibility can be accepted for entries not received for whatever reason.
Article 4. Rules of Contest
4.1. Quick Heal reserves the right to cancel or amend the Contest and these terms and conditions with or without any notice to that effect.
4.2. Quick Heal is not responsible for inaccurate prize details supplied to any Participant by any third party connected with this Contest.
4.3. The prize is as follows:
The prize will be Quick Heal Total Security (1 user - 1 year license) for all the Three (3) Winners out of the total participants. The prize will be delivered through Winner’s active email registered by the Participant at the time of registering for the Contest on Route Link, subject to the complete compliance with these terms and conditions by the Participants.
Amongst the total number of Participants, Quick Heal in its sole and absolute discretion through its independent panel /internal process will select Three (3) winners.
The prize is as stated and no cash or other alternatives will be offered. The prize is not transferable. Prizes are subject to availability and we reserve the right to substitute any prize with another of equivalent value without giving notice.
4.4. The name of the Winners will be declared declared/announced on the Twitter Facebook page of Quick Heal on or before date 15th January 2016, which may extend at the sole discretion of Quick Heal.
4.5. The promoter will notify the winner when and where the prize can be collected / is delivered.
4.6. In order to receive the prize under the Contest, the winning Participant(s) shall need to contact Quick Heal on corporatecommunications@quickheal.co.in within 07 days of their declaration as winner(s) on the Twitter/ Facebook page of Quick Heal and shall provide his/her details. In no event shall the winner be entitled to receive the prize under the Contest, if he/she fails to contact Quick Heal within the time period stipulated above. Quick Heal reserve the right to withdraw the prize from the winner and pick a replacement winner.
4.7. Quick Heal’s decision in respect of all matters to do with the Contest will be final and no correspondence will be entered into.
4.8. All the Participants hereby agree and permit Quick Heal in totality to use of his/her name and image in any publicity material and in any manner, related to this Contest or any other campaign, marketing plans etc. of Quick Heal. Participants will make no claim later on account of usage of their data or images (as it is or morphed) by the Quick Heal pursuant to this clause.
4.9. The Contest is in no way sponsored, endorsed and/or administered by or associated with Twitter and Facebook and/or any other website or individual entity. Further, whatever information/details and/or comments are posted on the Twitter handle or Facebook page of Quick Heal, the same shall be regarded as the post/comment/Tweet for and used exclusively by Quick Heal as per its discretion and the contents thereof would not be in any way related/ associated with Twitter & Facebook.
4.10. All taxes (whether direct or indirect including but not limited to duties, cessess, excise, sales tax, CST, gift tax, octroi, LBT, VAT, Income Tax, Tax Deducted at Source (TDS), insurance, transfers, other incidental and related expenses as the case may be, shall be the borne by the winner / End User and shall be sole responsibility / liability of the winner of the gift. Quick Heal shall under no circumstances be responsible for paying any amount or reimburse any amount to / or on behalf of the End User / winner including but not limited towards the travel cost, expenses incidental to travel, transport cost etc. with respect to receiving /availing the gift. Further, the handover of the gift by Quick Heal or claim of the gift by winner/End User shall be subject to prior payment of applicable TDS.
4.11. The authorized representative of Quick Heal may contact the Participant(s) to collect more information. Participation in the Contest shall be subject to providing accurate and timely information to the Quick Heal representative as and when requested.
4.12. The Participants must note that Quick Heal will identify the Participants only by way of their Twitter ID / Facebook account and the verification by Quick Heal would also be based entirely upon the same. Quick Heal will not entertain or honor any request claiming impersonation or misrepresentation if the claiming Participant (for the prize or gratification) satisfies Quick Heal of his/her identity with respect to the particular ID/account.
4.13. All the entries submitted by the Participants under the Contest are required and/or deemed to be the original idea/comment of the Participants and the Participants shall accordingly be considered or deemed to be the author/creator of such entries / comments. When demanded by Quick Heal, the participant is under obligation to furnish evidence of the above and also that the participant has the ownership of the entry submitted. It is clarified that in no event shall Quick Heal be held liable for any third party intellectual property right infringement for any wrongful and/or unauthorized copying, duplication, reproduction, and plagiarism by the Participant(s).
4.14. Quick Heal shall be well within its right to disqualify any Participant and consequently remove/reject his/her entry/comment for reasons such as providing/submitting inaccurate, incomplete, obscene and/or objectionable content on the Twitter and Facebook page of Quick Heal or being unable to furnish evidence of proof of ownership & originality of the entry submitted and the decision of Quick Heal in this regard shall be final and binding upon the Participants. It is further clarified that once an entry is submitted/posted under the Contest the same cannot be sought to be withdrawn by the Participant for whatsoever reasons/grounds unless so allowed by Quick Heal.
4.15. All entries submitted by the Participants under the Contest will be inherently and perpetually licensed to Quick Heal for use of any/all purposes deemed fit by Quick Heal (including its subsidiaries and permitted assigns) in its sole and absolute discretion and no royalty in any manner whatsoever shall be payable for the said right from Quick Heal to the Participant(s). Also nothing shall restrict Quick Heal from amending / modifying the entries/contents therein and to use/ apply the same in whatsoever manner.
4.16. Quick Heal shall neither be responsible for any fake or fictitious entries through Twitter Id/Facebook account nor shall be liable to check the authenticity or credentials of the Participants. Quick Heal shall presume that all data/information and entries submitted are from the particular Participant and Quick Heal shall not be responsible in case any entry is not received /interrupted for whatsoever reasons (including network, site or any other technical problem) or contains any erroneous contact details/information of the Participant.
4.17. Quick Heal will be deemed to have the right to use the content of the entries submitted by the Participants for purposes of duplication, editing, conversion into any other form or media, digital conversion, public display in any media and for use on any sequence or part of any advertisement or similar project. By participation in the Contest, the Participants expressly waive (in favor of Quick Heal) all personal rights prohibiting use of personal content, privacy rights, rights of displaying name, image and comment/tweet etc. as part of any content on the social media platform or advertisement or similar project along with the right to claim compensation and any proprietary rights to limit display/use of any such content under applicable laws.
4.18. Quick Heal reserves the right to revise or amend any/all the terms of the Contest at its sole discretion without any prior intimation to the Participants and/or the general public or it may withdraw this Contest at any time without assigning any reason whatsoever, and if it chooses to do so, the Contest will stand cancelled. Quick Heal does not accept any responsibility for any loss or claims incurred by the Participants on any account whatsoever including claim for compensation, loss, damage etc. If for any reason any aspect of this Contest is not capable of running or the Participant is unable to submit their entry, then Quick Heal shall be in right to accordingly cancel, terminate, modify or suspend or invalidate the affected terms of the Contest.
4.19. The decision of Quick Heal shall be final & binding on all matters of this Contest.
4.20. This Contest is not open to employees and associates (including their relatives) of Quick Heal, its dealers, agencies associated with this Contest.
4.21. This is a value added promotion by Quick Heal and does not intend to offer any consideration or other promises to the Participant other than those set forth above.
4.22. Any dispute, claim or legal action against Quick Heal, its agencies and their respective employees related as a result of this activity will be subject to Pune jurisdiction exclusively.
Article 5. General
5.1. In case of any ambiguity in the Contest / marketing promotions and communications of the Contest, Quick Heal’s decision will be final, conclusive and binding.
5.2. This Contest cannot be combined with any other Contest / Scheme.
5.3. In no event will Quick Heal or any of its officers, employees and agents be liable for any type of losses / damages whether direct / indirect arising in contract or in connection with this Contest, even if Quick Heal was advised of the possibility of any such damages in advance and all such damages are expressly excluded.
5.4. In case of any ambiguity in any promotional materials, including details on media channels or other promotional materials, these Terms and conditions shall supersede.
5.5. The Contest shall be void, if prohibited by law. In such an event, Quick Heal shall not be liable to provide any other Contest or gift or compensation in lieu thereof.
5.6. The Participants undertakes to indemnify and keep Quick Heal harmless and indemnified against any loss, damage, claims, costs and expenses which may be incurred or suffered by Quick Heal due to breach of any Terms and Conditions contained herein or infringement or violation of any Intellectual Property Right including patent, copyright, trademark, trade secret or other Proprietary Right of Quick Heal and/or third party by the Participant and, or, arising from the participation in the Contest.
5.7. This website, or any other website of Quick Heal, or relating to this Contest, the software, marketing / promotional materials (in print, electronic, radio medium) is protected by the applicable laws of copyright, trademark, patent and other applicable laws.
5.8. "Quick Heal" is the registered trademark of Quick Heal Technologies Limited. All other logos and trademark used during this Contest belong to their respective owners, and used only for reference to their services. The names of actual companies and products mentioned herein may be the trademarks of their respective owners. No association with any of these companies, organization, product, person, or event is intended or should be inferred.
5.9. Quick Heal shall not be liable and shall not accept any responsibility for late, lost, incorrect, false, delayed, corrupted, incomplete or misdirected submissions made by the Participants for any reason including whether due to theft, destruction, tampering, error, transmission interruption, communication failure, deletion or whatsoever reason.
5.10. Every dispute, difference, or question which may, at any time, arise between the Parties hereto or any person claiming under them, in respect of any clause of the Terms and Conditions or the subject-matter of the Contest thereof, shall be referred to the sole arbitration of the arbitrator appointed by Quick Heal and the decision of the said arbitrator shall be final and binding on the parties. Subject as aforesaid the Arbitration and Conciliation Act, 1996 and the rules made there under shall apply to the arbitration proceedings under this clause. The language of the Arbitration shall be English. The venue of arbitration shall be Pune.
5.11. Subject to clause above, the existence of dispute, if any, shall not by itself constitute a claim against Quick Heal. Any disputes arising from or in relation to this Contest shall be subject to the exclusive jurisdiction of Pune Courts only.
